Agreement below describes the legal framework in which you participate on ador, what your rights and responsibilities are and what you can expect from ador.
This website located at www.ador.com.au (this "Site") is being provided by ador Australian Dining Out Reviews ("ador") subject to your acceptance of the following User Agreement ("Agreement") which may be updated by ador from time to time. By becoming a Visitor or User (as defined herein) of the Site and using any feature of the Site, you agree to be legally bound by the terms of this Agreement. This Agreement was last revised on Nov. 2, 2008. You can review the most current version of this Agreement at any time at Terms of Use. When using a particular service or product offered on the Site you also may be subject to any posted guidelines, rules, terms of service, policies or other contractual provision as noted. In the event of a conflict between any other agreement, rule, or terms of service and this Agreement, the provisions of this Agreement shall govern.

All materials contained on the Web Site are Copyright. All rights reserved. No person is authorized to use, copy, or distribute any portion the Web Site including related graphics. ador and other trademarks and/or service marks (including logos and designs) found on the Site are trademarks/service marks that identify ador and the site and/or services provided by ador. Such marks may not be used under any circumstances without the prior written authorization of ador.
Types of Visitors
Any person or entity (through its agents) accessing, browsing, or otherwise using the Site, either manually or via an automated device or program, shall be deemed a "Visitor" under this Agreement. All Visitors are bound by the terms of this Agreement. If you do not agree to be bound by the terms of this Agreement, then you should not use or access the Site or its services. All Visitors have access to the home page of the Site. A Visitor who becomes a registered User of the Site shall be deemed a "User." Only Users may, in accordance with the procedures and conditions set forth below, can post reviews, upload photos and list new restaurants (as defined below). ador and any Visitor shall be deemed "Parties" to this Agreement.
Description of Services
ador and the Site provide free network service for user to post reviews, submit ratings, upload photos and list informations about restaurant, cafes and other dining out activities.
Conditions of Use
If a User is an individual, such User must be over the age of 18 and possess the capacity to enter into binding contracts. In order to become a User, you must register and provide to us certain personally identifiable information, including but not limited to, name, address, and email address, (collectively "Registration Information"). Providing false Registration Information constitutes a material breach of the Agreement.
No Endorsement of Content or Businesses
ador makes no representations or endorsements regarding the quality, accuracy, reliability or condition of any content posted on the Site including, without limitation, the availability or quality of any of the services offered by third parties. ador does not control the quality, safety, truth or accuracy of the content and makes no representation thereof. ador shall have no obligation to review the Site's content or pre-screen any of the service providers. All content provided by Users of the Site is the sole responsibility of the User, not ador. You understand that by using the Site you may be exposed to content that is inaccurate, misleading, or otherwise objectionable. By using the Site, users warrant that they rely exclusively on their own diligent enquiries in relation to all representations of accuracy, authenticity, suitability and reliability of any services or business included in the Site. Additionally, users acknowledge that the content in the Site does not imply endorsement or recommendation from ador, the Site and its owner and that all details on this website are subject to change without notice. ador, the Site and its owner disclaims themselves from all responsibility and liability for any direct or indirect loss or damage (however caused) which may be suffered by any recipient through relying on any information contained on the Site and ador.com.au.
Acceptable and Lawful Use of Site
Any Registration Information, computer information, or other information a User or Visitor provides to us in connection with the use of the Site: (a) shall not be false, inaccurate, deceptive, deceitful, or misleading; (b) shall not be obscene or indecent; (c) shall not contain any viruses, Trojan horses, worms, time bombs, or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information; (d) shall not infringe any third party's copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy; (e) shall not be defamatory, trade libelous, unlawfully threatening or unlawfully harassing, invasive of another's privacy, or harm minors in any way; (f) shall not create liability for us or cause us to lose (in whole or in part) the Software Products or our suppliers; and (g) shall not include personal or identifying information about another person who does not wish to be included. Visitors shall comply will all applicable laws, statutes, ordinances and regulations regarding use of the Site and its services. ador reserves the right to report any wrongdoing, if we become aware of it, to the applicable government agencies or otherwise.

The Site may contain hyperlinks to third party web sites outside of the Site. We make no representations or endorsements regarding the quality, accuracy, reliability or condition of any content posted on those third party web sites. We have no control over the content of any hyperlinked third party web sites and shall have no obligation to review those sites' content. Your linking to any other websites is at your own risk. You agree that you must evaluate and bear all risks associated with the use of any content, and that under no circumstances will ador be liable for any loss or damage of any kind as a result of the use of any content or service providers posted, emailed or otherwise made available through the Site.

WITHOUT LIMITING THE FOREGOING, COPYING OR REPRODUCTION OF THE SOFTWARE PRODUCTS INCLUDING THE CONTENT GENERATED BY THE SITE TO ANY OTHER SERVER OR LOCATION FOR FURTHER REPRODUCTION OR REDISTRIBUTION IS EXPRESSLY PROHIBITED, UNLESS SUCH REPRODUCTION OR REDISTRIBUTION IS EXPRESSLY PERMITTED BY THE LICENSE AGREEMENT ACCOMPANYING SUCH SOFTWARE.

License Granted
User retains all ownership rights to content published on the Site (your "Content"). However, you grant ador a nonexclusive, royalty-free, perpetual, irrevocable, and assignable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such Content throughout the world in any media whether now known or hereafter to become known.. You grant ador and its affiliates and sublicensees the right to use the name that you submit in connection with such Content, if they choose. We can publish all or teaser portions of your Content online and offline and permit others to do the same. We ask that you refer or provide links to the Site if you choose to republish your Content elsewhere and that you do not publish the same items of Content on both the Site and other product or service review or recommendation sites.
Relationship
No agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Agreement between Visitors and ador. This Agreement is between the Visitor and ador and is not intended to be for the benefit of any third party. If there is a dispute between participants on this Site, or between users and any third party, you understand and agree that ador is under no obligation to become involved. In the event that you have a dispute with one or more users or third parties, you hereby release ador, its officers, employees, agents and successors in rights from claims, demands and damages (actual and consequential) of every kind or nature, known or unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way related to such disputes and/or services.
Posting Reviews and Comments, Submitting Ratings, Uploading Photos and Communications on the Site
By posting a review, a comment, a rating, or uploading the photo the poster thereby represents that they are based upon an actual experience with the merchant being reviewed. You represent and warrant that you own or otherwise control all of the rights to the content you post and that the content is accurate. ador reserves the right, but not the obligation, to refuse to post or to remove any review, any comment, any rating or uploaded photos or portions thereof, in any media worldwide if it contains or features any of the content described in Section "Acceptable and Lawful Use of Site".
Businesses are not allowed to review themselves for the purpose of advertising. Any reviews deemed originating from a business owner and/or other representative for the sole purpose of promoting the business will be deleted. Reviews and comments do not reflect the views of ador, its parent, subsidiary or affiliated companies, or its employees, officers, directors, or shareholders. ador does not assume responsibility or liability for any review or for any claims, damages, or losses resulting from any use of the Site or the materials contained therein. With respect to content you submit or make available for inclusion on the Site ("Content"), you grant ador a world-wide, royalty-free, perpetual, irrevocable and fully sublicensable license to use, distribute, reproduce, modify, adapt, publish, translate, publicly perform and publicly display such Content (in whole or in part) and to incorporate such Content into other works in any format or medium now known or later developed. This license means that ador, its parent, subsidiary or affiliated companies have the unrestricted, perpetual and exclusive right to use, reproduce, modify, transmit, and distribute any and all materials and communications regarding and including submitted reviews, or portions thereof, in any media worldwide. Offline Conduct
Although ador cannot monitor the conduct of its users off the Site, it is a violation of these rules to use any information obtained from this Site in order to harass, abuse, or harm another person, or in order to contact, advertise to, solicit, or sell to any user without his/her prior explicit consent.
